AFFILIATE PROGRAM AGREEMENT NOTICE
This notice pertains to the agreement (“Agreement”) effective from the start date of your program sign-up, between:
TLV VIP Ltd, a company registered in England and Wales with company number 09524348, whose registered office is at Devonshire House, 582 Honeypot Lane, Stanmore, England, HA7 1JS, hereinafter referred to as the “Company,”
AND
Any individual, sole proprietorship, or company participating in the Company’s affiliate program, hereinafter referred to as the “Affiliate.”
ENROLLMENT
The act of joining and participating in the Company’s affiliate program signifies the Affiliate’s acceptance of the terms outlined in this Agreement.
ACCEPTANCE AND REJECTION
The Company reserves the right to accept or reject any affiliate application at its sole discretion. Acceptance into the affiliate program grants the Affiliate access to the affiliate portal.AFFILIATE RESPONSIBILITIES
By participating in the affiliate program, the Affiliate agrees to promote the Company’s products/services in compliance with applicable laws and the terms outlined in this Agreement. Misleading, unethical, or inappropriate promotional practices are strictly prohibited.
COMMISSIONS AND PAYMENTS
The Affiliate will earn commissions based on sales generated through their unique affiliate link. Commissions will be paid monthly on the last day of the month, via bank transfer once the minimum payment threshold of 100 USD is reached.
TRACKING AND REPORTING
The Company will use the TLV VIP affiliate portal tracking method to monitor affiliate-generated traffic and sales. The Affiliate will have access to the affiliate portal for real-time reporting.
INTELLECTUAL PROPERTY
The Affiliate is granted a limited, non-exclusive, non-transferable license to use the Company’s trademarks, logos, and promotional materials solely for the purpose of promoting the Company’s products/services.
TERMINATION
Either party may terminate this Agreement at any time. The Company reserves the right to terminate the affiliate relationship immediately for breach of terms.
MODIFICATION OF TERMS
The Company reserves the right to modify the terms of this Agreement, with notice provided to the Affiliate through the affiliate portal.
CONFIDENTIALITY
Both parties agree to keep confidential any proprietary or confidential information disclosed during the course of this Agreement.
INDEMNIFICATION
The Affiliate agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities arising from the Affiliate’s promotional activities.
LIMITATION OF LIABILITY
The Company’s liability is limited to the total commissions paid to the Affiliate under this Agreement.
GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
